These Terms of Service ("Terms") govern your use of ARICU, a clinical ICU command-center software operated by Easy Medical Solutions ("ARICU", "we", "us"), founded by Dr. Atul Rai, M.D.

By accessing or using ARICU, you agree to these Terms. If you don't agree, don't use the Services.

ARICU provides software-as-a-service for real-time ICU monitoring and clinical scoring, AI-assisted clinical decision support, Computerized Physician Order Entry (CPOE), AI-drafted discharge summaries, Code Blue activation and tracking, and NABH-compliant audit logging.

2.1 Clinical Decision Support — NOT Clinical Decisions

ARICU IS A DECISION SUPPORT TOOL. All clinical decisions remain the sole responsibility of the treating medical professional. AI recommendations are advisory only and must be verified by a qualified doctor before acting. ARICU is not a substitute for clinical judgment.

2.2 No Emergency Use Reliance

While ARICU includes Code Blue and emergency alert features, your hospital must maintain redundant emergency protocols. Do not rely solely on ARICU for life-critical alerts.

We may terminate your account for non-payment after grace period, violation of Acceptable Use (Section 5), legal/regulatory requirement, or material misrepresentation in signup.

9. Liability and Disclaimers

9.1 Service Provided "As-Is"

ARICU is provided "as-is" without warranties of merchantability, fitness for particular purpose, or non-infringement, except as required by law.

9.2 Limitation of Liability

Our maximum liability to you in any 12-month period is limited to the amount you paid us in the prior 12 months for the Services giving rise to the claim.

9.3 Excluded Damages

We are not liable for indirect, consequential, or punitive damages; lost profits, lost data, lost opportunity; clinical decisions made by your staff using ARICU; acts of God, internet outages, third-party service failures (AWS, OpenAI, etc.).

9.4 Medical Liability

You acknowledge that:
  • Treating doctors are solely responsible for clinical decisions
  • ARICU's AI is advisory only, not diagnostic or prescriptive
  • You will maintain your own professional indemnity insurance
  • Clinical malpractice claims are your responsibility, not ARICU's

9.5 Insurance

ARICU maintains professional indemnity insurance (₹50 lakh coverage) and cyber liability insurance (₹2 crore coverage). Scaling these as we grow.

10. Indemnification

You agree to indemnify and hold ARICU harmless from claims arising from your violation of these Terms, your clinical decisions made using ARICU, your violation of patient rights or DPDP Act, or your unauthorized use of the Services.

ARICU agrees to indemnify you against direct breaches of our security obligations, ARICU-caused data loss from infrastructure failure, and third-party IP claims against ARICU's core software.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Indian law.

11.2 Jurisdiction

Exclusive jurisdiction: courts of Hyderabad, Telangana, India.

11.3 Arbitration

Disputes will be resolved via binding arbitration under the Arbitration and Conciliation Act, 1996. Seat: Hyderabad.

11.4 No Class Actions

You waive the right to participate in class actions against ARICU.

13.1 Entire Agreement

These Terms + Privacy Policy + signed Pilot/Service Agreement (if any) constitute the entire agreement.

13.2 Severability

If any clause is unenforceable, others remain in effect.

13.3 No Waiver

Failure to enforce a right doesn't waive it.

13.4 Assignment

You can't assign these Terms without our consent. We can assign in connection with merger/acquisition.

13.5 Force Majeure

Neither party is liable for failures due to events beyond reasonable control (natural disasters, pandemics, internet outages, government actions).
