Terms of Service
These Terms of Service ("Terms") govern your use of ARICU, a clinical ICU command-center software operated by Easy Medical Solutions ("ARICU", "we", "us"), founded by Dr. Atul Rai, M.D.
By accessing or using ARICU, you agree to these Terms. If you don't agree, don't use the Services.
1. Acceptance and Authority
By signing up, you confirm:
- You are at least 18 years old
- You are a licensed healthcare professional OR an authorized administrator of a healthcare facility
- You have authority to bind your hospital/clinic to these Terms
2. The Services
ARICU provides software-as-a-service for real-time ICU monitoring and clinical scoring, AI-assisted clinical decision support, Computerized Physician Order Entry (CPOE), AI-drafted discharge summaries, Code Blue activation and tracking, and NABH-compliant audit logging.
2.1 Clinical Decision Support — NOT Clinical Decisions
2.2 No Emergency Use Reliance
While ARICU includes Code Blue and emergency alert features, your hospital must maintain redundant emergency protocols. Do not rely solely on ARICU for life-critical alerts.
3. Subscription Plans and Payment
3.1 Plans
Current plans (as listed on aricu.easymedicalsolutions.in/pricing):
- Pilot: ₹1,900/month (12 beds, pay-as-you-go AI)
- Starter: ₹3,999/month (8 beds, 50 AI credits)
- Professional: ₹8,990/month (20 beds, 200 AI credits) ⭐ most hospitals
- Enterprise: ₹19,000/month (unlimited beds, custom integration)
3.2 Pilot Partner Program
The first 5 hospitals receive 3 months free on any plan, lifetime 30% discount on selected plan, unlimited AI credits during pilot period, and terms locked for 3 years from contract signing.
3.3 Billing
- Monthly or annual billing (15% discount on annual)
- Billed in advance via Razorpay
- AI credits beyond included quota: ₹3 per credit
- All prices exclude GST (18% added at invoice)
- Failed payments: 7-day grace period, then read-only mode, then account suspension after 30 days
3.4 Refunds
- 30-day money-back guarantee on first subscription period
- Pro-rated refunds after that only for ARICU-caused service failures
- AI credits used are non-refundable
3.5 Price Changes
- 60-day notice for any price increase
- Pilot Partner discounts honored regardless of base price changes
4. Hospital Responsibilities
You agree to:
- Provide accurate hospital + staff information
- Use ARICU only for legitimate clinical purposes
- Ensure staff comply with DPDP Act and NABH standards
- Obtain patient consent for AI-assisted processing (we provide template)
- Train staff on proper use before going live
- Maintain redundant emergency protocols (see 2.2)
- Pay invoices on time
- Notify us within 72 hours of any data breach you detect
5. Acceptable Use
You will NOT:
- Use ARICU for non-clinical purposes (e.g., insurance fraud, fake records)
- Reverse engineer, decompile, or copy our software
- Share login credentials across users
- Bypass security measures
- Use ARICU to harm patients or third parties
- Scrape data programmatically without written permission
Violation may result in immediate account suspension without refund.
6. Data Ownership
6.1 Your Data is Yours
- Hospital owns all patient data entered into ARICU
- ARICU is a processor, not controller, of patient data
- You can export your data anytime (CSV, PDF, FHIR formats)
6.2 ARICU's Intellectual Property
- ARICU software, algorithms, AI prompts, designs remain our property
- You receive a non-exclusive, non-transferable license to use during subscription period
- All clinical protocols (GOLD, Surviving Sepsis, etc.) belong to their respective bodies
7. Availability and Support
7.1 Uptime Target
- 99.5% uptime monthly (excluding scheduled maintenance)
- Scheduled maintenance: announced 7 days in advance, performed midnight-4 AM IST
7.2 Support

- Critical issues (Code Blue failure, data loss): immediate response
7.3 Service Credits
If we miss uptime target:
- 99.0-99.5%: 10% credit on next invoice
- 95.0-99.0%: 25% credit
- <95.0%: 50% credit + right to cancel without penalty
8. Termination
8.1 By You
- Cancel anytime via dashboard or email
- Account closure within 7 days of request
- Data export provided before deletion
- No refund for current billing period (use until end of paid period)
8.2 By Us
We may terminate your account for non-payment after grace period, violation of Acceptable Use (Section 5), legal/regulatory requirement, or material misrepresentation in signup.
8.3 Data After Termination
- Active data: deleted within 30 days of termination
- Audit logs: retained 10 years per NABH MOM.10
- Backup data: deleted within 90 days
- Export available upon request before deletion
9. Liability and Disclaimers
9.1 Service Provided "As-Is"
ARICU is provided "as-is" without warranties of merchantability, fitness for particular purpose, or non-infringement, except as required by law.
9.2 Limitation of Liability
Our maximum liability to you in any 12-month period is limited to the amount you paid us in the prior 12 months for the Services giving rise to the claim.
9.3 Excluded Damages
We are not liable for indirect, consequential, or punitive damages; lost profits, lost data, lost opportunity; clinical decisions made by your staff using ARICU; acts of God, internet outages, third-party service failures (AWS, OpenAI, etc.).
9.4 Medical Liability
- Treating doctors are solely responsible for clinical decisions
- ARICU's AI is advisory only, not diagnostic or prescriptive
- You will maintain your own professional indemnity insurance
- Clinical malpractice claims are your responsibility, not ARICU's
9.5 Insurance
ARICU maintains professional indemnity insurance (₹50 lakh coverage) and cyber liability insurance (₹2 crore coverage). Scaling these as we grow.
10. Indemnification
You agree to indemnify and hold ARICU harmless from claims arising from your violation of these Terms, your clinical decisions made using ARICU, your violation of patient rights or DPDP Act, or your unauthorized use of the Services.
ARICU agrees to indemnify you against direct breaches of our security obligations, ARICU-caused data loss from infrastructure failure, and third-party IP claims against ARICU's core software.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by Indian law.
11.2 Jurisdiction
Exclusive jurisdiction: courts of Hyderabad, Telangana, India.
11.3 Arbitration
Disputes will be resolved via binding arbitration under the Arbitration and Conciliation Act, 1996. Seat: Hyderabad.
11.4 No Class Actions
You waive the right to participate in class actions against ARICU.
12. Changes to Terms
- Material changes: 30-day email notice + in-app banner
- Continued use after change = acceptance
- If you don't agree, you may cancel without penalty
13. Miscellaneous
13.1 Entire Agreement
These Terms + Privacy Policy + signed Pilot/Service Agreement (if any) constitute the entire agreement.
13.2 Severability
If any clause is unenforceable, others remain in effect.
13.3 No Waiver
Failure to enforce a right doesn't waive it.
13.4 Assignment
You can't assign these Terms without our consent. We can assign in connection with merger/acquisition.
13.5 Force Majeure
Neither party is liable for failures due to events beyond reasonable control (natural disasters, pandemics, internet outages, government actions).
